Payment Terms

Payment is due upon receipt of invoice

Accepted payment methods: Credit Card, ACH, PayPal

Late payments subject to 1.5% monthly interest charge

Service Delivery

Services provided as specified in proposal/agreement

Delivery timeline subject to client responsiveness

Hours to be utilized within agreed timeframe

Unused retainer hours expire as specified in agreement

Additional Services

Services beyond scope will be quoted separately

Additional hours billed at rates specified in agreement

Emergency/after-hours support billed at premium rate

Changes to project scope require written approval

Confidentiality

All client information treated as confidential

Non-disclosure applies to all business information

Client data handled according to privacy standards

Deliverables remain confidential per agreement terms

Intellectual Property

Client retains rights to all deliverables upon payment

SW Systems Consulting retains rights to methodologies

Templates and frameworks remain property of consultant

Attribution required for public use of methodologies

Termination

30-day written notice required for termination

Minimum commitment as specified in service agreement

Final payment due for all services rendered

Limitation of Liability

Liability limited to fees paid for relevant services

No liability for consequential or incidental damages

Client responsible for final business decisions

Force majeure applies to service interruptions
